Subscription Notice: Pulse Report is an auto-renewing subscription. $8.99/month or $69.99/year (12 months). Cancel anytime in iOS Settings > Subscriptions. Auto-renews unless canceled at least 24 hours before the period ends. Apple manages billing and refunds.

1. Acceptance of These Terms

By creating an account, accessing, or using the Pulse Report mobile or web application, its APIs, voice services, or any related products (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not access or use the Service.

2. Eligibility

You must be at least sixteen (16) years old or the age of majority in your jurisdiction (whichever is higher) and legally competent to accept these Terms. The Service is not directed to children under thirteen (13). If you are under 18 (or under the age of majority where you live), you may only use the Service with the consent of a parent or legal guardian.

3. Accounts and Security

• Credentials. You are responsible for safeguarding your login credentials and all activity that occurs under your account.

• Security Events. Notify us immediately of any unauthorized use or security breach. We may disable credentials we believe are compromised.

4. License and Proprietary Rights

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service solely as intended and in compliance with these Terms. All intellectual-property rights in the Service are owned by Pezzetti Capital or its licensors.

5. User Content and Conduct

User Content refers to any text, audio, data, or materials you submit—including voice conversations with our agents. You retain ownership, but you grant Pezzetti Capital a worldwide, royalty-free, sublicensable, transferable license to host, store, reproduce, transmit, and modify your User Content solely to operate and provide the Service, including abuse prevention and quality/safety improvement. We will not publicly display your content for marketing without your separate permission.

You agree not to:

• Violate any law or regulation.
• Use hateful, harassing, discriminatory, obscene, or otherwise inappropriate language or content.
• Infringe intellectual-property or privacy rights.
• Interfere with or disrupt the Service or other users' data.
• Reverse-engineer or attempt to extract source code.
• Use the Service to build or promote a competing product.

5A. AI & Data Use

Parts of the Service use artificial intelligence models to process your inputs (including voice recordings and transcripts) and generate outputs. We may use third-party model providers to perform this processing on our behalf. By using the Service, you authorize us and our providers to host, process, and analyze your inputs and outputs to provide the Service, prevent abuse, and improve quality and safety.

Unless you separately opt in, your content is not used to train third-party foundation models for their own products. We may use your content to improve Pulse Report (e.g., accuracy, safety, performance), including via human review under confidentiality obligations. You can request to opt out of improvement processing by contacting trey@pulsereport.ai. Some processing is essential to deliver the Service and cannot be opted out.

Do not submit information you are not authorized to share or that includes special-category or sensitive personal data unless our documentation explicitly supports that use.

AI Disclaimer: Outputs generated by the Service may be inaccurate, incomplete, or inappropriate. You should not rely on AI outputs for decisions where errors could cause harm, including medical, legal, financial, or safety-critical situations. We do not guarantee the accuracy, completeness, or appropriateness of AI outputs.

6. Subscriptions, Auto-Renewal, Trials, and Refunds

The Service is offered as an auto-renewing subscription at USD $8.99 per month or $69.99 per year (12 months) (plus applicable taxes) unless otherwise stated in the App Store. Your subscription automatically renews each billing period unless canceled at least 24 hours before the end of the current period. Your App Store account will be charged for renewal within 24 hours prior to the end of the current period.

Manage or cancel your subscription at any time in Settings > [your name] > Subscriptions on your iOS device. Deleting the app does not cancel your subscription.

If a free trial is offered, it converts to a paid subscription at the end of the trial unless you cancel at least 24 hours before the trial ends. For iOS purchases, billing, renewals, and refunds are handled by Apple; Pezzetti Capital cannot directly issue refunds for App Store transactions. Any unused portion of a free trial period will be forfeited if you purchase a subscription before the trial ends.

We may change subscription pricing or features prospectively with reasonable advance notice to the extent permitted by Apple and applicable law.

7. Suspension and Termination

Pezzetti Capital may, in its sole discretion, suspend, restrict, or terminate your account if you violate these Terms or our policies, pose a security, legal, or reputational risk, or if we discontinue the Service. If we terminate for cause, you may lose access immediately. If you cancel, you will retain access until the end of the paid-through period. Cancel via iOS Settings as described in Section 6.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." PEZZETTI CAPITAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee uninterrupted, secure, or error-free operation, nor any specific outcome or goal.

The Service is not intended for emergency use or as a substitute for professional advice (medical, legal, financial, or safety-critical). Do not rely on the Service where errors or delays could cause harm.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEZZETTI CAPITAL AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR LOSS OF DATA, PROFITS, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE AMOUNT YOU PAID US DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Pezzetti Capital and its affiliates from any claims, damages, liabilities, and expenses (including attorneys' fees) arising from your use of the Service or violation of these Terms.

11. Communications Consent

By creating an account or otherwise providing your email address, you agree that Pulse Report may send you:

• Transactional messages necessary to provide the Service (e.g., verification codes, password resets, account notifications).
• With your consent, marketing communications about the Pulse Report app, including newsletters, feature updates, and promotional offers.

You can withdraw consent to marketing communications at any time by following the unsubscribe instructions in the message or by adjusting your account preferences. Withdrawing consent will not affect your ability to continue using the Service.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Michigans, USA, excluding conflict-of-laws rules, except that mandatory consumer protection rights in your country of residence will also apply if required by law. Any dispute will be resolved by binding arbitration administered by the AAA under its Consumer Arbitration Rules (if applicable), held in Grand Traverse County, MI, or remotely via video conference, at the parties’ option. They will beconducted in English. Small-claims court option remains available. Class actions are waived: you and Pezzetti Capital may bring claims only in your individual capacity. You may opt out of arbitration/class waiver by emailing trey@pulsereport.ai within 30 days of first accepting these Terms; include your name, account email, and a statement that you opt out.

If a claim proceeds in court rather than arbitration, both parties waive any right to a jury trial to the extent permitted by law.

13. Modifications

We may update these Terms by posting a revised version with a new "Last updated" date. Changes are effective upon posting. Continued use constitutes acceptance.

14. Miscellaneous

If any provision is unenforceable, the remainder remains in effect. Failure to enforce any provision is not a waiver.

You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.

You may not use the Service where prohibited by export or sanctions laws. Beta or preview features may be modified or discontinued at any time.

These Terms constitute the entire agreement between you and Pezzetti Capital regarding the Service.

15. Copyright/Trademark Complaints

If you believe content infringes your rights, send a notice to trey@pulsereport.ai or mail: Pezzetti Capital LLC, 300 E Front St, Traverse City, MI 49686, USA, including: (i) identification of the work/right, (ii) the infringing material and its location, (iii) your contact info, (iv) a statement under penalty of perjury that you have a good-faith belief the use is unauthorized, and (v) your signature. We may terminate repeat infringers in appropriate circumstances.
